General Terms and Conditions of Sale

Medifroid is a brand of the FRIO ENTREPRISE group.

These General Terms and Conditions of Sale ("GTCS") apply to all orders placed with MEDIFROID, including via its website https://www.medifroid.com (hereinafter referred to as "the Site"). Any order implies full and unconditional acceptance of these GTCS by the Customer, which take precedence over any other terms, unless otherwise agreed in writing and in advance by MEDIFROID.

MEDIFROID reserves the right to modify these GTCS at any time. The applicable terms are those in effect on the date of the order.

Purpose

These GTC define the terms and conditions for the distance selling of products and services between MEDIFROID and its professional customers. They set out all of the contractual rights and obligations of the parties.

Orders

1. General Provisions

Orders may be placed:

  • By email, mail, or phone;
  • Or directly through the Site.

Orders are only considered final after:

  • Formal acceptance by MEDIFROID;
  • Receipt of any required deposit;
  • Signing and approval of the commercial offer, accompanied by these GTCS initialed and marked “Approved”.

2. Anti-Fraud Check

For security and fraud prevention purposes, MEDIFROID reserves the right to request supporting documents (identity, proof of professional address, etc.) before validating the order. Failure to respond may result in the suspension or cancellation of the order without compensation.

Price

Prices are quoted in euros, excluding taxes, transport costs and eco-contribution, according to the rates in force on the date of the order. MEDIFROID reserves the right to modify its prices at any time prior to order confirmation.

Payment

1. Terms

Unless otherwise specified, invoices are payable upon receipt, with no discount.

Accepted payment methods are: credit card, bank transfer, secure payment via Mollie, PayPal, or Klarna (installment payment).

2. Payment Default

Any late payment shall automatically result in:

  • Late payment penalties equal to three times the legal interest rate;
  • Suspension or cancellation of current orders.

MEDIFROID may require additional payment guarantees in case of doubt about the Customer's solvency.

Delivery

1. Terms

Delivery is deemed completed upon handover to the Customer or to the appointed carrier. The transfer of risk occurs at that time.

2. Deadlines

Deadlines are provided for information purposes only, unless otherwise agreed in writing. No delay may give rise to penalties, damages, or order cancellation.

3. Transport and Receipt

The Customer agrees to check the condition of the products upon receipt, to make specific reservations on the delivery slip, and to inform MEDIFROID within 72 working hours in case of any issue. Otherwise, the delivery is considered compliant.

Right of Withdrawal

The right of withdrawal does not apply to professionals, unless otherwise agreed in writing with MEDIFROID.

Guarantees

1. Statutory Warranty

MEDIFROID applies the statutory warranty against hidden defects (Articles 1641 et seq. of the French Civil Code), limited to the replacement or refund of the defective product.

2. Commercial Warranty

MEDIFROID offers a one-year commercial warranty on its equipment (excluding wear parts, damage resulting from improper installation or use, etc.). Any intervention must be carried out by MEDIFROID or an authorized service provider, otherwise the warranty will be void.

Retention of title

The products remain the property of MEDIFROID until full payment has been received. In the event of non-payment, MEDIFROID may demand the immediate return of the products, at the Customer's expense and risk.

Liability

MEDIFROID cannot be held liable for any loss or damage to products stored by the Customer. It is the Customer's responsibility to monitor and secure the cold chain, and in particular to opt for solutions equipped with alarms or electronic thermostats.

Force majeure

MEDIFROID shall not be held liable for any breach of its contractual obligations in the event of force majeure (external, unavoidable and unforeseeable events), including in particular: strikes, fires, natural disasters or supply disruptions.

Applicable law and competent jurisdiction

These GTC are governed by French law. In the event of a dispute, the Commercial Court of ANGERS shall have sole jurisdiction, even in the event of a warranty claim, multiple defendants, or delivery outside the territory.

Dispute mediation

In accordance with Article L612-1 of the French Consumer Code, consumers may seek the assistance of a mediator free of charge. MEDIFROID is a member of the National Association of Mediators (ANM) – www.anm-conso.com.
